Jim Marks

James Marks has extensive experience as an entrepreneur and an internationally
recognized equity analyst. Currently President and Managing Member of Marks
Baughan, Mr. Marks was one of the co-founders of SNL Securities, the leading
independent research firm covering publicly traded financial services stocks.
Having helped grow SNL from a start-up to 120 employees and $30 million in
revenues, Mr. Marks moved to Wall Street as an equity analyst in 1993. In 1996,
he became the first Wall Street analyst to cover electronic commerce and
banking.
Mr. Marks was a Director and Managing Director at Credit Suisse First Boston and
Deutsche Banc Alex Brown. He was widely recognized as the leading analyst in
his space, including being named by Mortgage Technology magazine as the top
mortgage technologist of 1998 and by Future Banker magazine as one of the 25
most influential personalities in financial services. He has been regularly
cited in the Wall Street Journal, the New York Times, the American Banker and
other trade periodicals and has been a frequent guest and presenter on CNBC and
at trade meetings.
Mr. Marks left CSFB in 2001 to become the president of Belzberg Technologies prior to starting Marks. He served on the strategic planning
committees for both CSFB and Deutsche Bank. He currently serves on the boards
of directors of Fiberlink Communications and the Marks Colorectal Surgical
Foundation.

Nick Baughan has 17 years of investment banking experience with a focus on
raising capital and providing advisory services to emerging growth companies,
primarily in the technology and business services sectors. Currently a Managing
Member of Marks Baughan, Mr. Baughan has been engaged on over 50 transactions
totaling over $12 billion.
From 2000 to 2003, Mr. Baughan was a Director with Credit Suisse First Boston
where he ran the Technology Services banking effort based in Palo Alto and New
York. In this capacity, Mr. Baughan was responsible for establishing and
maintaining CEO, CFO and other senior level relationships with leading
Technology Services companies, including Accenture, Affiliated Computer,
AnswerThink, BearingPoint, BCE, CGI Group, Compaq, Computer Sciences Corp.,
Cognizant, Dell, Deloitte & Touche, Electronic Data Systems, Hewlett
Packard, iXL, Microsoft, Perot Systems, Proxicom and Reynolds & Reynolds.
Mr. Baughan also coordinated closely with leading West Coast and East Coast
private equity sponsors in identifying and executing investment and
monetization opportunities.
Prior to joining the CSFB Technology Group, Mr. Baughan worked for Thomas Weisel
Partners in San Francisco where he focused on advisory services as well as
principal investing with a focus on the IT Services sector. Prior to TWP, Mr.
Baughan was a Vice President in Salomon Smith Barney's Technology investment
banking division and was an Associate in Bear Stearns' Financial Sponsors
Group, both based in New York.
Mr. Baughan received a BA from Columbia University and an MBA from the Wharton
School of the University of Pennsylvania.

John Jacobs has over 15 years of investment banking experience with a focus on capital raising and
providing advisory services to European Technology services, software and internet infrastructure
companies as well as selected Industrial companies. Mr. Jacobs is a seasoned investment banker and
Non-Executive Director with extensive experience across sectors,
clients, products and geographies.
Mr. Jacobs has extensive experience in leading complex transactions across all products from
origination to closing, including: development/analysis of options, strategy, tactics; conducting
negotiations; client management; 3rd party advisor management and experience in market and
stakeholder communications. Mr. Jacobs has worked and lived in Europe (London and Frankfurt)
since July 1995. He has dual US and UK citizenship and possesses full US and European Union work
privileges. He is currently a Non-executive Director for GCRYPT Limited, and was a Non-executive Director of Protx Group Ltd,
which was sold to Sage Group plc.
Prior to joining Marks Baughan, Mr. Jacobs was a Director in the Global Industrials Group and European
Head of Technology Investment Banking for HSBC Bank plc where he was responsible for
leading HSBC’s coverage of European Technology sector. Mr. Jacobs was previously Managing
Director of the Technology Group and Head of Coverage, European IT services, software
and internet infrastructure at Credit Suisse First Boston.
Mr. Jacobs received his BA from The University of Michigan, an MA in International Studies
from University of Vienna, and his MBA from the Ross School of Business Administration at
The University of Michigan.
Bill Takeuchi

Bill Takeuchi has 11 years of investment banking, private equity and technology
industry experience.
Prior to joining Marks Baughan as a Director, Mr. Takeuchi was with Lightyear
Capital, a private equity firm based in New York, where he focused on
media/technology and financial services investments.
From 2000 to 2001, Mr. Takeuchi was a Vice President with Credit Suisse First
Boston in New York. As part of the Internet infrastructure and data services
group, Mr. Takeuchi worked with ISPs, web hosting, content distribution,
wireless data and related companies. From 1997 to 2000, Mr. Takeuchi was with
Donaldson, Lufkin & Jenrette in New York, where he was a Vice President in
the Technology Group and a generalist associate. As a generalist, he gained
significant experience with leveraged finance, M&A and merchant banking
transactions in the media/telecom, healthcare, energy and paper industries.
Prior to joining CSFB, Mr. Takeuchi worked at GE Equity and at Advent
International, where he focused on venture capital investments in the
technology, media and telecom sectors.
Mr. Takeuchi received a BS in electrical engineering and computer sciences from
the University of California at Berkeley, a Master of Engineering from
Dartmouth College and an MBA from the Wharton School of the University of
Pennsylvania. Mr. Takeuchi is a Chartered Financial Analyst charterholder and a
Certified Management Accountant. He has also passed the Uniform CPA Exam.
Paul Vander Vort

Paul Vander Vort joins Marks Baughan from the Thomson Corporation (NYSE:TOC), where he held the position of Vice President, Strategy and Business Development for Thomson North American Legal. In that capacity, Vander Vort was responsible for M&A strategy and oversaw strategic licensing for North American Legal, which includes Thomson's flagship Westlaw business as well as Elite.
Previously, Vander Vort was a senior technology investment banker with RBC Capital Markets in Boston and London, in addition to several years as a practicing transactional attorney with Freshfields in London and Leonard Street and Deinard in Minneapolis.
Mr. Vander Vort holds a BA from Amherst College (magna cum laude) and a JD from the University of Virginia School of Law.
Joel Pina

Prior to joining Marks Baughan as CFO, Joel Pina was the CFO of Preferred Real
Estate Investments, a $1 billion-plus privately-held developer, owner and
operator of commercial real estate with a portfolio of 8 million square feet.
He was responsible for all aspects of financial management at Preferred. Prior
to that, he was a founder, Chairman and CFO at i-Open, a venture-backed, new
media company providing digital signage software and solutions to major
retailers throughout the United States. His activities included cultivating
business relationships and negotiating contracts with premier retail clients
and advertisers and successfully raising $8 million of private equity through
multiple rounds of financing.
Prior to founding i-Open, Mr. Pina was the CFO for Graham Partners, a $225
million private equity fund that engages in leveraged acquisitions, joint
ventures, growth capital investments and other equity-related investments. He
was actively involved in all stages of due diligence, transaction structuring,
financing and post-closing financial monitoring of portfolio companies, as well
as fund accounting, administration and reporting. Prior to joining Graham, Mr.
Pina had very successful tenures as Manager of Worldwide Tax Reporting and
Planning at ARCO Chemical, and as a Senior Tax Manager at Price Waterhouse.
Mr. Pina received a BS in Business Management and Accounting from Boston
College, a Masters of Taxation from Villanova University and an MBA from the
Wharton School of the University of Pennsylvania. He is a former CPA and member
of the American Institute of Certified Public Accountants.
Chris Skoff

Chris Skoff has 7 years of experience in the investment banking industry,
including four years of experience developing proprietary financial services,
legal and compliance applications. Mr. Skoff joined Marks Baughan in 2004.
From 1995 to 2001, Mr. Skoff held a number of positions within the compliance
group at Deutsche Bank, including Assistant Vice President in the investment
banking and capital markets compliance group. He was centrally involved in the
development of an integrated suite of legal and compliance surveillance
applications used by the firm's broker dealer operations.
Mr. Skoff received a BS in finance from Georgetown University and an MBA from
the Wharton School of the University of Pennsylvania.
Gavin Mlinar

Gavin Mlinar has 8 years of experience in the equity research industry
covering technology companies in the financial services, enterprise software
and information management sectors.
Prior to joining Marks Baughan as an Associate in June of 2003, Mr. Mlinar
co-founded Summit Analytic Partners, an independent research firm, where he
focused on and advised companies in the enterprise software space. Mr. Mlinar
authored company and industry fundamental research reports and a weekly
newsletter and created programs for companies to increase
their institutional ownership base.
Before founding Summit Analytic Partners, Mr. Mlinar was an Associate in
the Enterprise Software research group at Jefferies & Co.
Mr. Mlinar received a BA from Hamilton College.
